Article 1: Purpose and scope
These General Terms and Conditions of Sale (CGV) apply to all services offered by Semirprod, in particular:
- Services on quotation: Audiovisual production, live streaming, web development
- Online services: Semirprod subscription (live streaming), Cloud OBS
Any order implies unreserved acceptance of these CGV. Semirprod reserves the right to amend the CGV at any time; the applicable terms are those in force on the date of the order.
Article 2: Services offered
2.1 Services on quotation
- Video and audiovisual production
- Live streaming and live broadcasting
- Web and application development
- Technical consulting and support
2.2 Online services
The online services can be activated independently for each organisation:
- Semirprod subscription (Essential, Pro, Ultra): live streaming, OBS extension, remote control of OBS, IRL mode, aggregation of chat from third-party platforms, recordings and clips. Subscribed on a monthly basis; the number of simultaneous devices, the IRL hours included and the backup storage depend on the chosen tier, as displayed on the Pricing page on the day of subscription.
- Cloud OBS: OBS running on Semirprod's machines and controlled from the browser. Not yet marketed: its terms will be added to these CGV before it opens.
In addition, the customer area allows self-service management of the services and connection to social platforms through their official APIs.
2.3 October 2026 free trial
From Thursday 22 to Sunday 25 October 2026 inclusive (Paris time), any workspace without a subscription receives, free of charge, the features of the Pro tier, with the exception of multicam: only one device can stream at a time.
At most 20 simultaneous free live streams are open across the whole platform. When this limit is reached, a new free live stream cannot start; a live stream already in progress is never interrupted. Subscribers are not affected by this limit.
The trial does not require any means of payment and ends automatically on 25 October at midnight, without any automatic subscription.
Article 3: Quotation and order (Services)
Any custom service is subject to a detailed quotation drawn up by Semirprod. The quotation is valid for 30 days from its date of issue. The order is deemed accepted once the quotation is signed by the customer or validated in writing (email).
Article 4: Prices and payment terms
4.1 Services on quotation
Prices are stated in euros. VAT not applicable, Article 293 B of the French General Tax Code (CGI): the price displayed is the price paid, and no tax is added to it. Unless otherwise agreed, payment is made as follows:
- 30% on order (deposit)
- 40% at the midpoint
- 30% on delivery
4.2 Online services (Subscriptions)
Subscription prices are displayed in the online shop and are payable by bank card via Stripe. Payment is charged immediately and then on each monthly due date.
Subscriptions can only be taken out on the semirprod.fr website (Article 4.7).
4.3 Per-seat billing (Semirprod subscription)
The Semirprod subscription is billed per seat. A seat is assigned to one person within an organisation and follows that person: if their account leaves the organisation, the seat is released. The same person occupies only one seat per organisation.
The removal of a seat takes effect at the end of the current period, without refund of the portion already paid.
4.4 Late payment penalties (Business customers)
In the event of late payment, penalties equal to 3 times the statutory interest rate are payable as of right. A fixed indemnity of €40 for recovery costs will also be due.
4.5 Price revision (Subscriptions)
Semirprod reserves the right to change the prices of its subscriptions. Any price revision applicable to an ongoing subscription is notified to the customer by email at least one month before it takes effect, which occurs on the first renewal date following that notice period. The email states the old and new price, the date of application and how to cancel.
The new price never applies retroactively to the period already paid. A customer who does not accept the new price may cancel free of charge before it takes effect, from their customer area; failing cancellation, the new price is deemed accepted from that renewal date.
A discount granted for a fixed period (launch offer, promotional code) ends at the term announced at the time of subscription: the return to the price in force on that date does not constitute a price revision.
4.6 Suspension for non-payment (Subscriptions)
In the event of non-payment of an invoice or failure to renew a subscription, Semirprod applies suspension rules adapted to how critical the service is to the customer's activity:
- Streaming subscription: the service remains accessible during a 7-day grace period from the payment failure, with two email reminders. At the end of this period, streaming is suspended until payment is regularised, and restored as soon as a payment succeeds.
During this grace period, the service remains functional. Each reminder states the amount due, the due date and the time remaining before suspension.
4.7 Mobile application
The Semirprod mobile application will be released later. No subscription can be taken out from an app store.
Article 5: Subscriptions and cancellation
5.1 Term and renewal
Subscriptions are taken out for a term of one month. Unless cancelled, subscriptions are tacitly renewed for an identical term.
5.2 Cancellation
The customer may cancel at any time from their customer area. Cancellation takes effect at the end of the current period. No pro rata refund will be made.
In the event of non-payment, the suspension and termination rules set out in Article 4.6 apply.
5.3 Data portability
In the event of cancellation, the customer may request an export of their data within 30 days. After this period, the data may be permanently deleted.
Article 6: Right of withdrawal (Consumers)
In accordance with Article L.221-18 [of the French Consumer Code], the consumer customer has a period of 14 days to exercise their right of withdrawal.
The period runs from the date of subscription. A customer who requests immediate performance of the service at the time of ordering retains their right of withdrawal; if they exercise it, they remain liable for the part of the service provided up to their decision, calculated pro rata to the time elapsed over the paid period (Article L.221-25). The balance is refunded to them using the means of payment used, within 14 days.
How to exercise it
Online, from the customer area: Abonnement (Subscription) screen, Renoncer au contrat ici (Withdraw from the contract here) function, available throughout the withdrawal period. The customer confirms their surname and first name and the email address of their choice, then validates with Confirmer la rétractation (Confirm withdrawal). An acknowledgement of receipt setting out the content of the declaration, its date and its time is sent to them by email. The subscription ends immediately and the refund is triggered straight away.
Or by any unambiguous statement, for example the form below, sent to contact@semirprod.fr or to 2 rue Charles Baudelaire, 76100 Rouen, before the end of the period.
Exception
The right of withdrawal cannot be exercised for a service fully performed before the end of the period, where the consumer has expressly requested its performance and acknowledged losing that right (Article L.221-28).
Withdrawal form
(Complete and return this form only if you wish to withdraw from the contract.)

Article 7: Completion times (Services)
Completion times are given for information only in the quotation. In the event of a delay attributable to the customer, the completion times are automatically extended. Semirprod undertakes to inform the customer of any foreseeable delay.
Article 8: Liability and warranties
8.1 Best-efforts obligation
Semirprod is bound by a best-efforts obligation (obligation de moyens).
8.2 Limitation of liability
Semirprod cannot be held liable for malfunctions attributable to third-party suppliers. Liability is limited to the amount of the sums paid over the last 12 months.
Indirect damages are also excluded, in particular loss of revenue, loss of audience or subscribers, loss of data, loss of profit and damage to reputation.
These limitations do not apply in the event of gross negligence or wilful misconduct (faute lourde ou dolosive), nor to personal injury, nor in the cases where the law excludes them.
8.3 Customer's liability for their content
The customer is solely responsible for the content they stream, record, send or store through the Semirprod services, including content provided by their guests or their audience. They warrant that they hold all the necessary rights and authorisations, in particular for music, excerpts of works, rebroadcasts and the image of the people filmed.
8.4 Warranty and indemnification
The customer indemnifies and holds Semirprod harmless against any claim, action, judgment or penalty brought by a third party or an authority and relating to their content or their use of the services, in particular in matters of copyright and neighbouring rights, image rights, personal data or unlawful content.
This warranty covers the sums charged to Semirprod as well as the defence costs incurred. Semirprod informs the customer of any claim received and allows them to take part in it.
8.5 Availability
Semirprod gives no quantified service level commitment for the online services, unless otherwise stipulated in writing in a signed quotation. Maintenance work is announced when its scheduling allows.
8.6 Backups
Backups made by Semirprod are part of the internal operation of the service. They constitute neither a guarantee of restoration nor an archiving service. It is the customer's responsibility to keep their own copies of their content, recordings and data.
Where the content stored by the customer (scene backups, clips) exceeds the storage included in their subscription, for example after moving to a lower plan, the customer is informed by email and has 14 days to free up space. After this period, the oldest content is deleted until the storage used returns within the included limit.
8.7 Changes to the services
Semirprod may change, replace or withdraw a feature. The withdrawal of a substantial feature of an ongoing subscription is notified by email before it takes effect, and entitles the customer to cancel free of charge. Features presented as experimental or as a trial version are provided as is, without warranty or commitment to continuity.
Article 9: Intellectual property
9.1 Services on quotation
Intellectual property rights are transferred to the customer after payment in full.
Semirprod retains the right to use the creations for promotional purposes (portfolio), unless the customer objects in writing.
9.2 Customer content
The customer remains the owner of their content. Semirprod acquires no rights over it beyond what is necessary to perform the service.
9.3 Technical operating licence
In order to provide the service, the customer grants Semirprod a non-exclusive, worldwide, free and revocable licence, limited to the term of the contract and to the technical operations strictly necessary: storing, reproducing, transcoding, segmenting, caching, recording, generating clips and previews, and routing the stream to the destinations that the customer has configured themselves, including the third-party platforms they have connected.
This licence permits no promotional use and no commercial exploitationof the customer's content. It ends with the contract, subject to the retention periods required for backups in rotation and to compliance with Semirprod's legal obligations.
Article 10: Cancellation (Services)
In the event of cancellation, fees may apply:
- More than 7 days before: No fees
- Between 3 and 7 days: 50% of the total amount
- Less than 3 days: 100% of the total amount
Costs already incurred may be invoiced in addition, on presentation of supporting documents.
Article 11: Force majeure
Semirprod cannot be held liable for any delay resulting from force majeure within the meaning of Article 1218 of the French Civil Code.
Article 12: Personal data
12.1 Two distinct roles
For the customer's own data (account, billing, support), Semirprod acts as controller. The details are set out in the Privacy Policy.
For the data of third parties that the customer routes through the service (viewers, chat messages, people filmed or recorded), Semirprod acts as processor on behalf of the customer, who is the controller. The following provisions constitute a data processing agreement within the meaning of Article 28 of the GDPR.
12.2 Subject matter, duration and purpose
The purpose of the processing is the provision of the subscribed services, for the term of the contract. It covers only the data strictly necessary: audio and video content streamed or recorded, chat messages and associated usernames, IP addresses and technical logs. The data subjects are those the customer chooses to involve.
12.3 Semirprod's commitments
- Process this data only on the customer's documented instructions, unless required by law.
- Ensure confidentiality, and grant access only to the persons who need it.
- Implement appropriate security measures: encryption of communications, segregation of customer environments, access control.
- Assist the customer in handling the requests to exercise rights that they receive.
- Notify the customer of any personal data breach concerning them without undue delay after becoming aware of it, with the information needed for their own notification.
- Delete or return the data at the end of the contract, subject to the export period provided for in Article 5.3 and to legal retention obligations.
- Make available to the customer the information necessary to demonstrate compliance with these obligations.
12.4 Sub-processors
The customer authorises Semirprod to use the following sub-processors:
- Hetzner (Germany and Finland): server hosting and storage.
- Stripe: payment processing.
- Cloudflare: storage of profile pictures.
- o2switch: delivery of the emails sent by the service.
- Discord, when the customer connects it: role assignment.
- Twitch, TikTok, YouTube and the other platforms the customer connects themselves: receipt of chat messages and outgoing streaming, according to the configuration they have chosen.
- PostHog and Google: audience measurement and statistics, according to the consent obtained.
Any addition or replacement of a sub-processor is notified to the customer before it takes effect. The customer may object in writing within 30 days; failing a solution, they may cancel the service concerned free of charge.
12.5 Customer's obligations
The customer warrants that they have a legal basis for the processing they carry out, that they inform the data subjects, and that they obtain the necessary authorisations, in particular those of the people filmed or recorded and, in the case of a minor, that of the holder of parental authority.
Article 13: Mediation (Consumers)
The consumer customer first sends their complaint to Semirprod, at contact@semirprod.fr. If no solution is found within two months, they may refer the matter, free of charge, to the consumer mediator to which Semirprod belongs.

Consumer customers: the customer may bring proceedings, at their choice, before the court of the place where they resided at the time the contract was concluded or the harmful event occurred, or before one of the courts having territorial jurisdiction under the French Code of Civil Procedure (Article R.631-3 of the French Consumer Code).
